1. Agreement Overview
These Terms of Service ("Terms") constitute a legal agreement between you ("Customer" or "you") and Fluxon LLC ("we", "us", or "our") regarding your use of the GateLLM service ("Service").
By using our Service, you agree to be bound by these Terms. If you do not agree with these Terms, do not use our Service.
2. Definitions
In these Terms, the following terms have the meanings set out below:
- "Service" means the website, software, applications, and related functionality provided by Fluxon through GateLLM, including license issuance and control-plane services.
- "Customer" or "you" means any individual or entity that accesses or uses the Service.
- "Gateway" means the GateLLM instance you self-host on your own infrastructure under the license.
- "Content" means all data, documents, and information you upload to or process through the gateway, including prompts and completions.
- "AI Output" means analyses, suggestions, reports, and other content generated through large language models via the Service.
- "BYOK" means the Bring Your Own Key model, under which you obtain and maintain your own API keys with LLM providers.
3. Service Description
GateLLM is an enterprise-grade multi-model LLM gateway that provides a unified API for routing and managing access to over 100 large language model providers.
Our Service includes: API routing, failover, load balancing, model composition, cost optimization, and compliance features.
GateLLM is deployed in a self-hosted model within the customer's infrastructure. We provide software licenses and related support services.
4. Account Registration and Security
Registering an account is required to use certain features of the Service. You agree to provide accurate, complete, and up-to-date registration information and are responsible for all activity under your account.
You must safeguard your account credentials and notify us promptly of any unauthorized access to your account. We are not liable for losses arising from your failure to safeguard your credentials.
Accounts are for your own use or use by persons you authorize and may not be transferred or shared.
5. License Grant
Subject to these Terms and applicable payment, we grant you a non-exclusive, non-transferable license to install and use the GateLLM software on your designated instances.
License Types:
- Free Tier: A single license with 512MB of storage and SQLite, with no log retention, for deployment on your own infrastructure.
- Pro Tier: 2GB memory · single instance, one paid license per instance, for commercial use. 2GB is a fixed hard cap — memory cannot be added and the tier cannot be upgraded; a single instance above 2GB or multi-node deployment requires upgrading to Enterprise.
- Enterprise Tier: Licensed per node × memory (flat $400/GB/month), supporting multi-node and cluster deployments, billed annually.
Licenses may not be resold, sublicensed, or reverse-engineered.
6. BYOK (Bring Your Own Key)
GateLLM operates on a BYOK (Bring Your Own Key) model. You are responsible for obtaining and maintaining your own API keys with LLM providers.
You are solely responsible for:
- Secure storage and management of API keys
- Any fees and billing associated with LLM providers
- Compliance with LLM providers' terms of use and policies
- Compliant use of API keys
Fluxon LLC is not responsible for any transactions, fees, or disputes between you and third-party LLM providers.
7. Payment and Subscriptions
The Pro tier uses a monthly or annual subscription model, priced at $400/month, with a 20% discount for annual billing ($3,840/year). The Enterprise tier is priced at a flat $400/GB/month, configured per node × memory, billed annually, and can be purchased via self-service configuration on the website.
Payments are processed through Stripe. You agree to provide accurate and complete payment information. Subscriptions auto-renew unless cancelled before the renewal date.
Refund Policy: Both the Pro and Enterprise tiers offer a 100% refund within 30 days of initial purchase if you are unsatisfied; upon refund, the corresponding licenses are immediately revoked. After this 30-day window, paid fees are non-refundable, but cancelling before renewal avoids the next billing cycle charge.
Other than the refund policy above, the Service does not offer a free trial period; payment is charged immediately upon order placement.
8. Customer Responsibilities
You agree to:
- Use the Service only for lawful purposes
- Comply with all applicable laws and regulations
- Not abuse the Service or attempt to interfere with other users
- Maintain the runtime environment, security, and backups of your self-hosted infrastructure
- Ensure your usage does not violate any agreement you have with LLM providers
9. Acceptable Use
You may not use GateLLM to:
- Engage in any illegal activities
- Infringe on others' intellectual property rights
- Send spam or conduct malicious attacks
- Bypass or attempt to bypass security measures
- Interfere with or disrupt the stability of the Service
- Violate any third-party terms of use
10. Export Control and Sanctions
You represent and warrant that neither you nor any party you authorize to use the Service is on the Specially Designated Nationals (SDN) list of the U.S. Treasury's Office of Foreign Assets Control (OFAC), nor a party restricted under U.S. export control laws, including the Export Administration Regulations (EAR).
You agree not to use the Service for any purpose prohibited by applicable export control laws, including providing access to restricted regions or restricted parties.
11. Customer Content and Data Ownership
You retain full ownership of all content you process through the gateway.
Under the BYOK self-hosted architecture, your prompts, completions, and LLM API keys do not pass through Fluxon's servers, and we cannot access them technically.
We will not use the prompts, completions, or LLM API keys you process through the gateway to train any model. This commitment is limited to gateway data and does not extend to control-plane data you actively submit to us (such as account information or inquiries).
You are responsible for the legality and accuracy of the content you process and for ensuring you have the right to process it through the Service.
12. Intellectual Property
The intellectual property rights in the GateLLM software and related documentation are owned by Fluxon LLC.
These Terms do not grant you any license to trademarks, patents, or copyrights, except for the limited license to use the software.
The GateLLM name, logos, and brand elements are protected by trademark law.
13. Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a non-exclusive, royalty-free, worldwide, sublicensable license to use, modify, and incorporate such Feedback into our products and services, without any obligation or compensation to you.
This section does not apply to information you identify as confidential and that is protected under the confidentiality obligations.
14. Third-Party Services and LLM Providers
The Service may integrate third-party APIs or contain links to third-party services. Under the BYOK model, you will connect to services provided by third-party LLM providers through the gateway.
These third-party services are governed by their respective terms. We are not responsible for the content, availability, security, pricing changes, or output of third-party services.
You establish an independent contractual relationship with each LLM provider and must comply with their usage policies; Fluxon is not responsible for any transactions, fees, or disputes between you and third-party providers.
15. Confidentiality
Both parties agree to keep confidential the non-public information learned during the use of the Service, with a confidentiality period of three years following termination of this agreement.
This obligation does not apply to information that is already public, becomes public through no fault of the receiving party, or is independently developed by or lawfully obtained from a third party by the receiving party.
16. Data Processing
We process your personal information in accordance with applicable data protection laws and our Privacy Policy.
For enterprise customers, where required by applicable law, we may enter into a Data Processing Agreement (DPA); the terms are set out on the DPA page.
17. Support and Service Levels
Support is provided in tiers: the Free tier offers community-channel support; the Pro tier offers email and ticket support; the Enterprise tier includes priority response.
Specific response targets are governed by the applicable support plan or enterprise agreement.
Because the Service is self-hosted, the availability of the gateway instance itself depends on your infrastructure and chosen model providers; Fluxon makes no commitment regarding the availability of gateway instances. If a separate enterprise agreement provides for service levels, that agreement governs.
18. Service Changes and Version Support
We reserve the right to modify, suspend, or terminate the Service (or any part of it) at any time. Material changes will be notified in advance within a reasonable period.
For paid subscription customers, material adverse changes are eligible for a pro-rata refund.
For the self-hosted product, we provide security updates for supported versions; material changes or version deprecations will be notified in advance within a reasonable period, with the specific support period set out in release notes or the enterprise agreement.
19. Disclaimers
The Service is provided "as is" without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.
We do not guarantee that results obtained through the Service will be accurate or reliable.
Outputs generated by LLM models are produced by the model providers, and we make no warranties regarding their accuracy, appropriateness, or legality.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Fluxon LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Our total liability to you shall not exceed the fees you paid for the Service in the 12 months preceding the claim.
These limitations apply to all claims, whether based on contract, tort, or other legal theories.
21. Indemnification
You agree to indemnify and hold harmless Fluxon LLC and its affiliates, employees, and agents from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.
22. Term
These Terms take effect when you first use the Service and remain in effect until your account is cancelled, your subscription is terminated, or we terminate the Service under these Terms.
23. Termination
You may terminate the Service at any time by cancelling your subscription.
We may suspend or terminate your access if:
- You violate these Terms
- We are required to do so by law
- Continuing to provide the Service poses an unacceptable risk to our business
Upon termination, your license will expire and you must cease using the software.
24. Effect of Termination
Upon termination of the agreement, you will no longer be able to access the Service. We will delete your control-plane data within 90 days of account cancellation, except where retention is required by law.
Termination does not affect payment obligations that have already arisen, confidentiality obligations, or any other provisions that by their nature should survive.
25. Force Majeure
Neither party shall be liable for any delay or failure in performance caused by force majeure events (including but not limited to natural disasters, war, terrorist attacks, government action, or internet or cloud service outages).
For purposes of this Service, force majeure events also include service interruptions or policy changes on the part of LLM providers. The affected party shall promptly notify the other and take reasonable measures to mitigate losses.
26. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.
Any dispute arising from these Terms shall first be resolved through good-faith negotiation; if negotiation fails, it shall be resolved in the courts of Delaware.
27. Changes to Terms
We reserve the right to modify these Terms at any time. Modified Terms will be published within the Service, and material changes will be notified 30 days in advance.
Continued use of the Service constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
28. General
These Terms constitute the entire agreement between you and us regarding your use of the Service and supersede any prior agreements or representations.
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Neither party may assign its rights or obligations under these Terms without the prior written consent of the other; however, Fluxon may assign these Terms as a whole to an affiliate or acquirer.
All notices under these Terms shall be given in writing to the contact details listed herein.
No failure or delay by either party in exercising any right under these Terms constitutes a waiver of that right.
